America Online and CareerBuilder, LLC Announce Multi-year, Multi-million Dollar Strategic Career-services Alliance

CareerBuilder.com to Power Careers and Jobs Areas Of Several America Online Brands, Offering Job-Seekers Access to CareerBuilder.com's More Than 400,000 Continuously Updated Job Postings
Exclusive Four-Year Alliance Valued At Up To $115 Million


DULLES, VA and CHICAGO, IL - August 4, 2003 - America Online, Inc., the world's leading interactive services company, and CareerBuilder.com, the smarter recruitment resource for finding better candidates and jobs, today announced a multi-year strategic alliance under which CareerBuilder.com will power the Careers and Jobs areas of several America Online brands. CareerBuilder.com will also receive promotion on several Time Inc. interactive properties as well as on CNN.com.

The alliance brings the wide online consumer audiences of America Online, Time Inc. and CNN together with CareerBuilder.com's unique combination of national, local and niche audiences, offering job-seekers and recruiters a powerful online resource to match qualified prospective employees with the right company. The exclusive four-year agreement, beginning in mid-December 2003, involves a combination of performance-based elements and guaranteed payments, and is valued at up to $115 million over the term.

Under the agreement, tens of millions of AOL and CompuServe members and Netscape users will have convenient access to all of CareerBuilder.com's more than 400,000 continuously updated job postings, representing more than 25,000 of the top employers in virtually every industry and field. AOL members will also be able to take advantage of CareerBuilder.com's smart online products such as the confidential Personal Search Agent that hunts for job opportunities in expressed areas of interest and automatically emails them to job seekers.
